Terms & conditions
This is a summary for orientation and is not the executed agreement. The binding terms are those in your signed Statement of Work. Have this document reviewed by counsel before relying on it.
- Scope of engagement
- Each engagement is governed by the signed Statement of Work, which defines deliverables, timelines and acceptance criteria for that project.
- Payment
- Standard terms are 50% on signing and 50% on completion and acceptance. Invoices are due within 7 days. A 2% late fee applies after 30 days, and recurring services may be suspended after 45 days of non-payment.
- Intellectual property
- Where the build is purchased at full price, all intellectual property in the delivered work transfers to the client on final payment. Where the hosting discount has been applied, RenderHaven Studio retains the source code for the duration of the hosting engagement and the client holds a full licence to use the platform.
- Buying out the source code
- A client on the discounted arrangement may acquire the source code at any time by repaying the discount applied to the original build, plus the value of work performed after go-live at the rates in force when that work was performed. The figure is quoted in writing on request and holds for thirty days. Transfer includes the repository, commit history, documentation, design assets and deployment configuration.
- Client data
- All data held in the platform database, and all content supplied by the client, remain the property of the client in every arrangement. A full export in a standard format is available on request at any time and at no charge, including where an invoice is outstanding. RenderHaven Studio does not use client data for marketing, for promotion, for training any system, or as a case study without written permission.
- Warranty
- Thirty days of post-launch bug fixes are included with every build. Where the source code is transferred, support on it and its documentation is provided for six months. Where RenderHaven Studio hosts the platform, maintenance is included for the duration of the engagement and is not optional.
- Revisions
- Three to five review rounds are included in each engagement. Work beyond the agreed scope is quoted separately before it begins.
- Confidentiality
- An NDA is available on request and can be signed before discovery begins.
- Liability
- Liability is limited to the fees paid for the engagement in question.
